Terms of Service

These Terms of Service (“Terms”) govern your access to and use of VoiceSpectrum AI (the “Service”) provided by Clinicspectrum, Inc. (“Clinicspectrum”, “we”, “us”). By using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorized to enter into a binding agreement on behalf of the organization (“Customer”) you represent in order to use the Service. By using the Service you represent that you meet these requirements.

3. Customer Data and Privacy

The Service may process protected health information (PHI) on your behalf. Use of the Service in connection with PHI requires a signed Business Associate Agreement (“BAA”) between Clinicspectrum and Customer. The handling of your data is further described in our Privacy Policy.

4. Intellectual Property

The Service, including all software, designs, and content provided by Clinicspectrum, is the exclusive property of Clinicspectrum and its licensors. Customer retains ownership of Customer Data submitted to the Service.

5. Third-Party Services

The Service relies on third-party providers (telephony, AI inference, email delivery, and similar). Clinicspectrum is not responsible for outages or failures of these providers, but will use reasonable efforts to maintain Service availability.

6. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CLINICSPECTRUM DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service is not a substitute for professional medical judgment.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICSPECTRUM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. CLINICSPECTRUM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

8. Termination

Either party may terminate the Service for material breach with thirty (30) days written notice if the breach is not cured. Upon termination, Customer access ceases and Customer Data is exported or deleted per the applicable order or BAA.

9. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in New Jersey.

10. Changes

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
